These Terms of Service ("Terms") govern your access to and use of www.tpmrents.com and any related pages or services (the "Site"), operated by TPM Inc ("TPM," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site. These Terms govern your use of the Site only; any rental, lease, property management, or other service relationship with TPM is governed by its own separate written agreement, which controls over these Terms as to that relationship.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. By using the Site, you represent that you meet these requirements.

2. Use of the Site

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial purposes, subject to these Terms. You agree to use the Site only for lawful purposes. We may suspend or terminate access to the Site at any time for any reason without notice.

3. Intellectual Property

The Site and its content, including text, graphics, logos, images, and software, are owned by or licensed to TPM or its service providers and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from the Site without our prior written permission.

4. Submissions You Provide

When you submit information, messages, or documents through the Site, you represent that the information is accurate and that you have the right to provide it. You grant TPM the right to use the information you submit to respond to your request and provide our services. If you provide suggestions or feedback about the Site, we may use them without restriction or compensation. Do not submit confidential information you do not wish to share, and do not submit content that is unlawful, infringing, or harmful.

5. Property Listings and Information

Property listings, availability, pricing, descriptions, photographs, and other information on the Site are provided for general informational purposes and may change at any time without notice. We do not guarantee that any listing is current, accurate, or available, and the information on the Site does not constitute an offer or a binding commitment. Any rental, lease, or service is governed by a separate written agreement.

6. Equal Housing Opportunity

TPM is an Equal Housing Opportunity provider. We do business in accordance with the Fair Housing Act and applicable state and local fair housing laws, and we do not discriminate on the basis of race, color, religion, sex, national origin, familial status, disability, or any other protected characteristic.

7. Payments and Third-Party Services

The Site does not process payments. Our payment page links to external payment portals operated by third parties; payments are made on those providers' websites and are subject to their terms and privacy policies. The Site may also integrate or link to other third-party services and websites that we do not control. We are not responsible for the acts, omissions, errors, availability, or security of any third-party provider or website.

8. Prohibited Conduct

You agree not to:

  • Use the Site in violation of any law or regulation.
  • Interfere with or disrupt the Site or its servers or networks.
  • Attempt to gain unauthorized access to any part of the Site or related systems.
  • Use automated means to scrape, harvest, or collect data without our permission.
  • Upload viruses, malware, or other harmful code.
  • Submit false, misleading, or fraudulent information.
  • Impersonate any person or misrepresent your affiliation with any person or entity.

9. Disclaimer of Warranties

As used in these Terms, the "TPM Parties" means TPM and its owners, officers, directors, employees, agents, affiliates, contractors, licensors, and service providers, including Deploy Vision, the developer and maintainer of the Site. The TPM Parties are the beneficiaries of the disclaimer, limitation of liability, indemnification, and arbitration provisions in Sections 9, 10, 11, and 14.

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NEITHER TPM NOR ANY OF THE TPM PARTIES WARRANTS THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE INFORMATION ON IT IS ACCURATE OR COMPLETE.

10. Limitation of Liability; Time Limit on Claims

TO THE FULLEST EXTENT PERMITTED BY LAW, NONE OF THE TPM PARTIES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE. THE TOTAL AGGREGATE LIABILITY OF THE TPM PARTIES FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

To the extent permitted by law, any claim arising out of or relating to the Site or these Terms must be filed within one (1) year after the claim accrued, or it is permanently barred.

11. Indemnification

You agree to indemnify and hold harmless the TPM Parties from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your submissions, or your violation of these Terms or applicable law.

12. Site Developer; Third-Party Beneficiaries

The Site was developed and is maintained by Deploy Vision (deployvision.com) as an independent contractor on TPM's behalf. Deploy Vision is not a party to any rental, lease, or property management relationship, has no responsibility for listing content, pricing, availability, or TPM's services, and makes no warranties of any kind to you. Deploy Vision and the other TPM Parties are intended third-party beneficiaries of Sections 9, 10, 11, and 14 of these Terms and may enforce those sections directly, including by compelling arbitration of a claim brought against them. Except as stated in this section, these Terms create no third-party beneficiary rights.

13. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. Subject to the dispute resolution section below, you agree that any dispute will be brought exclusively in the state or federal courts located in Utah County, Utah, and you consent to their jurisdiction.

14. Dispute Resolution; Binding Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site that cannot be resolved informally will be resolved by binding arbitration administered by a recognized arbitration provider under its consumer arbitration rules, rather than in court, except that either party may bring an individual claim in small claims court. The arbitration will take place in Utah County, Utah, or another mutually agreed location or by remote means. This section applies equally to claims against the TPM Parties, who may invoke it as third-party beneficiaries.

Class action waiver. To the fullest extent permitted by law, you and TPM agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

Your right to opt out. You may opt out of this arbitration agreement and class action waiver by emailing info@tpmrents.com within 30 days of the date you first accept these Terms, with your name, contact information, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.

If any portion of this section is found unenforceable, the remainder will continue to apply, except that if the class action waiver is found unenforceable as to a particular claim, that claim will proceed in court.

15. Accessibility

We are committed to making the Site usable by everyone, and we work to align the Site with generally recognized accessibility guidelines on an ongoing basis. 16. Copyright Concerns

We respect intellectual property rights. If you believe content on the Site infringes your copyright, send a notice with the identification of the work, the location of the material on the Site, your contact information, and a statement of your good-faith belief to info@tpmrents.com, and we will review and respond.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after changes are posted means you accept the updated Terms.

18. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full effect. These Terms, together with the Privacy Policy, are the entire agreement between you and TPM regarding the Site. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. No TPM Party is liable for any delay or failure caused by events beyond its reasonable control, including outages, acts of God, or actions of third-party providers. Sections that by their nature should survive (including Sections 3, 9, 10, 11, 12, 13, and 14) survive any termination of these Terms or the Site.
